These Terms of Service ("Terms") are an agreement between you and Deduct AI LLC, doing business as Empirical ("Empirical," "we," "us," or "our") governing the Empirical mobile application, website, and related services (the "Service").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. Mandatory rights under applicable law are not waived.
You must be at least 18 and legally able to enter a contract. You may use the Service for your own records or an organization that authorized you. You may not use a consumer account as an unapproved service bureau or professional tax service for others.
Depending on your country, region, entity, subscription, and enabled features, the Service may:
A bank connection does not establish tax-country support. The Supported Countries and Tax Scope Notice controls current availability.
Unless separate written terms expressly say otherwise, Empirical does not:
The Service provides bookkeeping tools, general information, automated suggestions, and estimates. It does not replace an appropriately qualified accountant, tax adviser, lawyer, or financial professional.
Estimates depend on information you provide, transaction availability, displayed assumptions, selected jurisdiction/entity, and the rule version used. They may omit income, credits, benefits, payroll, local taxes, sales tax, GST/HST/PST/QST, foreign activity, capital transactions, special elections, penalties, or interest.
You are responsible for selecting the correct country, state/province, entity, and registrations; reviewing imported/automated information; retaining records; checking official deadlines; obtaining professional advice; and filing and paying accurately and on time.
Unless expressly enabled, the Service does not support corporations, partnerships, trusts, charities, payroll, direct filing, complex sales tax/GST/HST/PST/QST, cross-border establishments, nonresident returns, controlled foreign entities, crypto tax, estates, insolvency, or disputes.
The Service is not currently offered in the United Kingdom, Ireland, the EEA, or any other country.
Outputs may use federal Schedule C concepts and enabled state rules. They may not account for local taxes, multistate nexus, entity elections, payroll, information returns, sales tax, or industry-specific rules.
Outputs may use federal T2125 concepts and enabled provincial/territorial rules. They may not account for corporations, partnerships, trusts, payroll, every CPP/QPP interaction, interprovincial GST/HST/PST/QST, or Quebec requirements. Quebec users must not register until the Service expressly states that Quebec is available.
AI and automated rules may extract receipt data, suggest categories, flag possible deductions, request documentation, estimate taxes, and generate business-health observations. These systems can misread, misclassify, hallucinate, use incomplete facts, or apply an outdated rule.
Review every material output. Correct errors and seek professional advice for mixed use, capital assets, home office, vehicles, travel, meals, cross-border activity, sales tax/GST/HST/PST/QST, payroll, or entity questions.
Provide accurate information, keep it current, protect credentials, and report suspected unauthorized access. We may verify identity, limit features, or suspend access for security, legal, or fraud-prevention reasons.
Plaid and the financial institution govern authentication and account availability. Coverage, history, fields, and refresh frequency vary. You authorize retrieval and use described in the connection flow and Privacy Policy.
Disconnecting stops future retrieval after processing but does not automatically delete previously imported information. The Service does not hold funds or initiate payments.
You retain ownership of receipts, documents, notes, and other content you submit. You grant Empirical a limited, non-exclusive license to host, copy, process, analyze, transmit, and display it as needed to provide, secure, support, and lawfully improve the Service.
You must have the right to provide User Content. Do not upload unnecessary government identifiers, full payment-card details, health information, illegal content, or another person's confidential information.
Keep independent copies required for tax or legal recordkeeping. The Service is not guaranteed archival storage.
Before purchase, the purchase screen will disclose price, currency, billing interval, trial length, conversion price, renewal terms, taxes, cancellation method, and material feature limits.
Subscriptions renew automatically unless canceled before renewal, subject to applicable law and app-store rules. Cancel through the app store or another method we provide. Deleting the app or account does not cancel an app-store subscription.
Refunds are provided when required by law or app-store policy. Nothing removes mandatory cancellation, refund, digital-service, or consumer rights.
We may modify features for security, legal, technical, or business reasons. We will provide reasonable notice of material adverse changes where required. We will not impose a material price increase during a prepaid term unless permitted by disclosed terms and law.
Updated Terms apply prospectively. Where consent is legally required, continued use alone is not a substitute.
You must not use the Service for fraud, tax evasion, money laundering, fabricated deductions, unauthorized access, malware, disruption, security bypass, scraping, resale, unlawful reverse engineering, or unapproved professional services for others.
Empirical and its licensors own the Service, software, interface, branding, documentation, and non-user content. We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose during your subscription.
We aim for reliability but do not promise uninterrupted or error-free operation. Banks, Plaid, app stores, AI providers, hosts, and tax-authority systems may be unavailable or change.
Nothing excludes responsibility that applicable law places on Empirical for its providers or failure to perform with legally required care.
We may suspend or terminate for material breach, fraud, security risk, legal requirement, nonpayment, or Service discontinuation. Where reasonable and lawful, we will provide notice and an opportunity to cure. Export records promptly when ending use.
To the extent allowed by law, the Service is provided "as available," without a promise that every output is accurate, complete, current, or accepted by a tax authority.
This does not exclude a warranty, guarantee, term, or remedy that cannot lawfully be excluded, including applicable consumer rights.
Nothing excludes liability that cannot lawfully be excluded, including fraud, willful misconduct, or death/personal injury caused by negligence where applicable.
To the extent allowed by law, Empirical is not responsible for loss caused by inaccurate information supplied/confirmed by you; failure to review outputs, retain records, check notices, file, or pay; clearly disclosed unsupported scenarios; third-party interruption outside our reasonable control; or use contrary to these Terms.
For business users only, Empirical is not liable for indirect/consequential loss or lost profit/opportunity to the extent legally permitted. Aggregate contractual liability to a business user will not exceed the greater of US$100 or fees paid in the 12 months before the event, unless that limit is unlawful or inappropriate.
Mandatory consumer remedies are not limited.
If you use the Service for a business, that business will indemnify Empirical against third-party claims arising from unlawful User Content, fraud, or material breach, except to the extent caused by Empirical. This does not apply where unfair or unlawful under consumer law.
Contact support@withempirical.com before filing a claim so the parties can try good-faith resolution for 30 days. This does not prevent urgent relief, small claims, regulators, or mandatory remedies.
Except where mandatory law provides otherwise, New Jersey law governs and disputes may be brought in courts with jurisdiction in New Jersey.
Canadian consumers retain non-waivable federal and provincial protections and may use courts or remedies available under applicable Canadian law. US residents retain non-waivable state protections.
The Privacy Policy explains personal-information practices. It is a notice and not a waiver of privacy rights.

If a provision is unenforceable, the remainder continues to the extent lawful. Delay is not waiver. You may not transfer your account without consent. We may transfer these Terms in a corporate transaction if rights are not materially reduced and notice is given where required.
These Terms, the Privacy Policy, Supported Countries and Tax Scope Notice, Subscription and Cancellation Notice, AI Notice, and Bank Connection Notice form the agreement governing the Service.
